Brilliant book!

This is a must read book for anyone wanting to acquire a business! It’s a deep dive for the US audience but has great insights nonetheless.

Great bridge between small/medium and large M&A topics

I found this to be a great bridge between small/medium and large enterprise M&A topics. As an audiobook, I enjoy hearing the sample documents read aloud. I found benefit from seeing concepts in a framework that can be tailored to small/medium enterprises.

Nice for an overview of contracts

Helpful to get the general lay of the land of what to look for or be aware of in multiple scenarios. Useful to at least understand broadly what your legal team may be discussing.

M&A worth the listen

So many things to mention about this Audiobook... As to audience, those interested in this topic would find this title very useful. It would be most beneficial to corporate attorneys and high level executives, though the portions on business valuation would likely be useful to bankruptcy attorneys and those in charge of receiverships. As to format, if you are simply looking for information, the audiobook will suffice, but if you are seeking information for future reference (and there is a lot) or looking for form documents as a starting point for actual business transactions, this title is best acquired in print format. As to content, the book provides an excellent overview of the numerous factors of consideration comprising M&A transactions. As to form, there is room for improvement as the sample forms are presented in an unorderly fashion (most people would anticipate sample forms found in an appendix rather that integrated in a piecemeal fashion). From an editorial context, though there is excellent discussion on factors of consideration, the author unfortunately assumes listener familiarity with certain tax code citations and references to terms of art like R&W clauses that are not explained when first referenced, Likewise, some information is entirely too detailed for an M&A discussion, particularly the portions touching on employee benefit plans that would almost certainly necessitate an employment attorney and benefits administrator rather than an assumption that such would be handled by an M&A team. Likewise, the Labor & Employment section unnecessarily references what is seemingly every labor enactment in history and, for example, there appears to be no point to mentioning anti-age discrimination laws predating the ADEA (or such was not apparent) Many case study references to corporate mergers, for example in the cross-border challenges and joint ventures section) were useless as a simple factual recitation with no point otherwise (though there were a few exceptions in the references). Overall, this title is worth the listen, but it is an advanced topic and subject matter that would it inappropriate for anyone other than a college graduate or advanced standing business studies student.
