I saw a couple of reviews that said it was too basic for an attorney. Well, yes, if you're an actual attorney and are hoping to guide your client through a multi-million-dollar deal based on having read a Kindle book ... This book provides pragmatic advice and walks through almost every aspect of a sale. It is of course a bit biased towards the buyers (for instance, I think sellers need to be very skeptical of being offered a Letter of Intent) but if you're a seller or a broker then you will get a very good sense of what the buyers are (or ought to be) thinking about from this book.
This book is easy to read and understand, yet covering topics that before seemed confusing. I am more confident now than ever in making the right decision and also in the negotiation process. I recently denied an equity acquisition deal that I was initially excited about, but so glad I did. From what I learned in this book, I knew to ask the previous owner key questions that would have costs me thousands after the fact. It was a bad deal, wrapped in a good package. Although my lawyer would have been involved eventually, I felt confident during the beginning stages all by myself, and this book..which also saved money. Thank you for writing this Joel. It's a great book! So happy I bought it!
I'm interested in becoming a business owner in the industry I have worked for over 10 years. While I know the ins and outs of running and managing this type of business and know what it takes to be successful, what I don't know anything about, is the actual process of buying one.
This book hit the nail on the head of what I was looking to learn more about which is the actual mechanics of the transaction. I would highly recommend it for someone like myself who is looking to purchase a business at the mom and pop level.
I am in the preliminary stages of researching a business opportunity. It is a B2B service. I searched Amazon for the top rated books with multiple reviewers and found Here’s The Deal. I felt Joel did a great job of explaining the process to me. I have been in manufacturing my entire career and hope to reinvent my self. I have not prior knowledge of purchasing or running a small business. This book gave me the confidence and motivation to progress to further learnings. Thanks Joel.

Recommended read. The price you pay for this book will be made up when you do the actual transaction. Even if it is through one of the points that he covers in the book that you do not think of when doing the deal. There is a lot covered in this book that is not discussed in other books. The last 4 or 5 chapters are especially helpful.

A great resource guide with just the right amount of detail. covers all the major issues so at minimum, you can put them on your radar. gives you a great understanding of why you need a business lawyer, and what will be discussed with them. This book will give you great confidence whether you are buying or selling a business.
